Have a person here locally wants to sell me a Winchester 94 in 30-30, rifle was made somewhere between 2002 & 2004. I don't need a 30-30 but would this be a good candidate to convert to 38-55? He's asking $350 I'd say its 99% I'd have to pay transfer fee's.

Judging by what I have seen around here at gun shows, that price is about $40 high but it is pretty close to the market

If you buy it and have it reamed & rifled to 38-55 you are going to have more invested than just buying a 38-55 Marlin or a Winchester 375. Check around the Auctions.. With a little patience you can find some great bargains. I bought a Marlin 375 about 6 months ago for $385 + $25 shipped to my FFL. If you buy a Numrick Barrel and swap it yourself then you could end up with a reasonable priced 38-55...

just convert to a 32 spl all you need is to swap the barrle on it the you can form fire the 30-30 brass to make 32 spl brass i have a win 32 spl its a sweet gun it will do 150 + yards

I always thought that everybody needed at least one 30-30. You could do worse than the one you've described.
